Pivot Proposals is an AI-powered proposal generation tool designed for freelance developers and tech consultants, operated by Pivot & Anchor Private Limited. The Service allows users to create, edit, save, and share professional project proposals.

The Service uses artificial intelligence to generate proposal content based on user inputs. Generated content is provided as a starting point and should be reviewed and modified by users to ensure accuracy and appropriateness for their specific needs.

3. User Accounts

To use certain features of the Service, you must create an account. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Providing accurate and complete information during registration
• Promptly updating any information to keep it accurate

We reserve the right to suspend or terminate accounts that violate these Terms or for any other reason at our sole discretion.

4. User Content and Data

You retain ownership of any content you submit to the Service, including project descriptions, proposals, and other materials ("User Content"). By using the Service, you grant us a non-exclusive, worldwide, royalty-free license to:

5. AI-Generated Content

The proposals and content generated by our AI are provided "as-is" and for informational purposes only. You acknowledge that:

• You are solely responsible for reviewing, editing, and verifying all generated content before use
• Generated proposals do not constitute legal, financial, or professional advice
• We make no guarantees about the suitability of generated content for your specific business needs
• You assume all risks associated with using AI-generated content in your business dealings

6. Payments and Subscriptions

Certain features of the Service require a paid subscription. By subscribing, you agree to:

• Pay all applicable fees as described at the time of purchase
• Provide accurate billing information
• Authorize recurring charges for subscription plans

Payments are processed securely through Razorpay. By making a payment, you also agree to Razorpay's terms of service.

Prices are subject to change with reasonable notice. Existing subscriptions will honor their current pricing until the end of the billing cycle.

8. Prohibited Uses

You agree not to use the Service to:

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• IMPLIED WARRANTIES OF MERCHANTABILITY

• UNINTERRUPTED OR ERROR-FREE OPERATION

We do not warrant that the Service will meet your requirements or that any errors will be corrected.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PIVOT & ANCHOR PRIVATE LIMITED AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data, use, goodwill, or other intangible losses
• Damages resulting from unauthorized access to your account or data
• Damages resulting from any content or conduct of third parties
• Any damages arising from your use of AI-generated content
• Business losses resulting from proposals generated by the Service

In no event shall our total liability exceed the amount you paid us in the twelve (12) months prior to the claim, or INR 5,000, whichever is greater.

12. Indemnification

You agree to defend, indemnify, and hold harmless Pivot & Anchor Private Limited, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, obligations, losses, liabilities, costs, or debt arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

The Service may contain links to or integrate with third-party services (including Clerk for authentication and Razorpay for payments). We are not responsible for the content, privacy policies, or practices of third-party services. Your use of such services is at your own risk.

14. Service Availability

We strive to maintain Service availability but do not guarantee uninterrupted access. We may modify, suspend, or discontinue the Service (or any part thereof) at any time with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

15. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts in Hyderabad, India.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
